VivoPower International PLC (Nasdaq: VVPR) has entered an exclusive, non-binding heads of agreement with Kweather Co., Ltd. (KWeather), South Korea’s largest private weather data company, to form a strategic partnership centered on an initial US$5 million XRP-focused digital asset reserve and the launch of WeatherCoin, a tokenized weather derivative for climate risk management. The parties are targeting a definitive agreement by November 30, 2025.

The Agreement and Strategic Aims

Under the heads of agreement, VivoPower, through its Vivo Federation division, plans to acquire about a 20% stake in KWeather, a company founded in 1997 and listed on KOSDAQ since 2024. KWeather intends to use a portion of proceeds to acquire VivoPower shares while executing a digital asset treasury strategy anchored by XRP holdings. The collaboration seeks to establish KWeather as South Korea’s first publicly listed vehicle offering shareholders exposure to XRP and potential equity exposure to Ripple Labs, subject to market and regulatory conditions.

The parties also plan to co-develop WeatherCoin, a tokenized weather derivative instrument designed for climate and weather risk management use cases. Vivo Federation will be KWeather’s exclusive crypto and tokenization partner for this initiative.

Vivo Federation: Expanding a Digital Asset Strategy

Vivo Federation is a new division launched by VivoPower to extend its Digital Asset Treasury strategy globally. The division is pursuing strategic acquisitions and partnerships with public companies outside the U.S., building a network to develop blockchain-based treasury, payments, and tokenization platforms. These platforms are intended to support clean energy, digital infrastructure, and sustainability-focused projects worldwide.
