If Boards Don’t Govern AI, AI Will Govern the Business
Africa’s digital economy is no longer a future story. Digital payments alone are projected to reach $1.5 trillion by 2030. As organisations digitise payments, customer journeys, and decision-making, leadership is no longer supervising technology at the margins; it is governing the systems through which value is created, customers are served, and trust is either built or broken. In an AI-driven economy, the question is not whether innovation matters—it is whether the organisation can scale innovation without scaling unmanaged risk.
Too many boards are behind this curve. When a board approves a strategy without understanding how AI is executing it, that is not delegation—it is abdication. Recent industry data shows AI incidents have reached record highs, rising by more than 50% year over year, even as more companies acknowledge responsible AI risks. Yet mitigation and operational discipline still lag implementation speed.
Board attention is improving, but governance maturity remains uneven. Many directors now give AI a regular place on the agenda, yet only a minority have assessed how AI disruption might affect the company’s long-term viability. The conversation often starts with efficiency: Where can AI lower cost, raise productivity, or defend share? Those are necessary questions—but incomplete. AI is not merely a tool for acceleration. It is a system of delegation. It delegates pattern recognition, judgement, prioritisation, and sometimes action. Once that delegation begins, the board’s responsibility shifts. Approving ambition is no longer sufficient; directors must govern consequences.
This is especially urgent in Africa, where opportunity and asymmetry coexist. AI can expand financial inclusion and operational efficiency, but real barriers persist: uneven infrastructure, skills gaps, weak data quality, cyber exposure, and different levels of market readiness. These are not reasons to pull back. They are reasons to govern with more discipline than markets that had the luxury to modernise slowly.
The strongest boards in the next phase of this economy will embrace a simple principle: trust is not the by-product of innovation; it is the precondition for scale. That requires governance to move from policy language to board behaviour—visible, repeatable practices that shape how AI is selected, deployed, monitored, and corrected.
From policy to practice: what boards should require
- Map material AI exposure: Ask where AI is already shaping outcomes in products, pricing, customer journeys, underwriting, fraud, supply chains, talent, and capital allocation. Do not chase pilots; focus on systems that touch customers, finances, or reputation.
- Define human decision rights: Which decisions remain meaningfully human? Where is human-in-the-loop required? What escalation paths exist when automated outputs conflict with policy or ethics?
- Demand evidence on data quality and model risk: How is data lineage tracked? What controls detect drift, bias, and performance decay? How fast can the organisation pause, fix, or roll back a faulty model?
- Assign accountable owners: Who is responsible at the executive level for AI outcomes across business lines, not only in IT? How is this integrated into enterprise risk management and internal audit?
- Set thresholds for transparency and redress: What explanations are provided to customers and regulators when automation drives outcomes? What remedies exist when harm or error occurs?
- Tie AI to capital allocation and resilience: Are AI initiatives held to the same return, risk, and control standards as other investments? What scenarios test for concentration risk, cyber exposure, or supply chain fragility in third-party models and data?
- Commit to director education: Schedule ongoing briefings that use real internal cases, not just vendor demos. Build fluency in key terms, limits, and trade-offs without expecting directors to become data scientists.
The board’s edge: sharper questions, not deeper code
The board’s role is not to be technical; it is to be sharper. Sharp enough to ask where AI is already embedded, not where executives hope it will go. Sharp enough to distinguish competitive momentum from governance theatre. Sharp enough to require proof that automated systems behave safely and fairly in production—not just in a procurement slide or a controlled pilot.
Practical oversight means insisting on dashboards that make sense to non-technical directors: model inventories tied to business processes; key risk indicators for bias, drift, and stability; incident logs with time-to-detect and time-to-remediate; and clear accountability when thresholds are breached. It also means aligning incentives so that speed does not outrun safety, and innovation leaders are rewarded for resilience as well as results.
A decisive question for the quarter ahead
The next quarter demands an answer that can no longer be deferred: Does your board govern AI, or does AI govern your organisation by default? Leadership in this era will not be measured by the sophistication of the technology deployed, but by the integrity of the oversight applied to it. Boards that rise to this standard will protect what they have built—and define what responsible leadership looks like on this continent, in this moment, for the decade ahead.
